TORA’s terms of trade and delivery are designed to ensure clear, predictable and professional collaboration.

The terms describe the framework for delivery, quality, responsibility, deadlines and payment so all parties operate with the same expectations.

They are based on common business principles in metal and industrial production and provide transparency throughout the process.

Offers and agreements

Offers are prepared based on:

  • drawing documentation
  • specifications
  • known tolerance requirements
  • quantities
  • material types
  • surface requirements
  • possible assembly
  • documentation requirements

An offer is valid for the period stated in the offer, and the agreement is binding when the order confirmation has been approved.

If drawing documentation changes, price and delivery are adjusted according to the scope of the change.

Delivery and lead time

Lead time is determined based on:

  • material consumption
  • production capacity
  • process flow (laser → bending → CNC → welding → surface → assembly)
  • any surface treatments
  • task complexity

TORA delivers:

  • on the agreed time
  • partial or rescheduled delivery if the project requires it
  • set packing if agreed
  • documentation as needed

Lead time may change due to changes in the basis or due to force majeure.

Prices and payment terms

Prices are based on:

  • materials
  • processing
  • surface treatment
  • assembly
  • documentation
  • logistics
  • quantity and series variation

Prices are adjusted in case of significant changes in material or energy prices.

Payment terms:

  • stated in the order confirmation
  • due after invoice date
  • interest and fees for late payment according to applicable rules

Materials and specifications

Materials are purchased according to applicable specifications and with traceability when relevant.

Correct specifications are agreed based on:

  • drawings
  • technical requirements
  • functional requirements
  • corrosion class
  • welding standards
  • any surface treatment requirements

If the customer supplies materials, these must meet the specified requirements and be free from defects.

Tolerances and quality

Tolerances and quality levels are defined through drawings, specifications and applicable standards.

Production follows documented procedures and control processes to ensure that requirements are met.

Complaints and defects

If defects are identified, TORA must be notified without undue delay.

Defects are handled through repair, replacement or credit according to agreement.

Claims for indirect costs are not covered unless otherwise agreed.

Delay and force majeure

If TORA cannot fulfil delivery due to circumstances beyond our control, force majeure conditions apply.

This may include:

  • natural disasters
  • fire
  • machine breakdown
  • supply failure
  • pandemics
  • strikes
  • war
  • lack of material deliveries from subcontractors

In such cases the customer will be informed immediately with a new expected delivery time.

Liability and limitations

TORA’s liability is limited to:

  • the value of the delivered product
  • direct errors in production
  • conditions under TORA’s control

TORA is not liable for:

  • indirect losses
  • operating losses
  • consequential costs
  • project losses unless specifically agreed

This is common practice in industrial production and ensures a clear legal framework.

Drawings, designs and confidentiality

All information from the customer is handled confidentially in accordance with TORA’s confidentiality and data protection policy.

The customer is responsible for:

  • correct and accurate drawing material
  • strength and design of constructions
  • functional requirements in final use

TORA is responsible for:

  • correct production according to agreed specifications
  • documentation and traceability according to requirements
  • stable and controlled processes

Returns, storage and remaining deliveries

Return of goods takes place only by agreement.

Storage of components, materials or tools must be agreed separately.

Remaining deliveries are handled according to:

  • series division
  • packing rules
  • project planning
  • documentation as required
